Droom provides access to a variety of services such as Droom Rentals, Droom Marketplace, Droom Cloud Services, Droom Eco System Services and Droom Ancillary Services, Adreach by Droom and Chairman Club by Droom (hereinafter referred to as the "Services"), including but not limited to access to the www.droom.in website or any other sub-domain(s)/sub-page(s), mobile site and mobile application (hereinafter individually and collectively referred to as "Platform"). All the Services shall be deemed to be a part of the Platform and these Terms of Use constitute a binding legal agreement between users and the Platform. The word "Product" in these Terms of Use shall be referred to vehicles as well wherever applicable.

For the purpose of these Terms of Use, wherever the context so requires "You", "Your" or "User" shall mean any natural or legal person who is a User/visitor/registered seller/cloud dealers/registered buyer/subscriber on the Platform availing the services, raising queries and seeking information and/ or who has agreed to become User on the Platform by providing registration data while registering on the Platform as registered User using the computer systems. Droom allows the User to surf the Platform or making purchases without registering on the Platform. The term "We", "Us", "Our" shall mean Droom.

Your use of the Platform, Services and tools are governed by the following Terms of Use as applicable to the Platform including the applicable policies which are incorporated herein by way of reference. If You transact on the Platform, You shall be subject to the policies that are applicable to the Platform for such transactions. By mere use of the Platform, You shall be contracting with Droom and these Terms of Use including the policies constitute Your binding obligations, with Droom. You will be subject to the rules, guidelines, policies, terms, and conditions applicable to such Service(s), and they shall be deemed to be incorporated into these Terms of Use and shall be considered as part and parcel of these Terms of Use.

We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to You. It is Your responsibility to review these Terms of Use periodically for updates/changes which we shall notify via a banner on the website whenever there is any update. Your continued use of the Platform following the posting of changes will mean that You accept and agree to the revisions. As long as You comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform. Where expressly agreed under the applicable Agreement and any Statement of Work, such licence may extend to Droom's end Client's and/or their affiliates. In the event of any inconsistency or overlap between these Terms of Use and the terms of a duly executed Agreement, the provisions of the Agreement shall prevail, except to the extent required to comply with applicable law.

BY ACCESSING, BROWSING OR OTHERWISE USING THE PLATFORM INDICATES YOUR ACCEPTANCE TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE, SO PLEASE READ THE TERMS OF USE CAREFULLY BEFORE PROCEEDING.

By impliedly or expressly accepting Droom's and this Platform's Terms of Use, You also accept and agree to be bound by Droom's and this Platform's policies (including but not limited to Privacy Policy available on https://droom.in/privacy-policy) as amended from time to time. We shall not be obliged to notify You, irrespective of the fact that You are registered or not, of any modifications made to the Terms of Use or to the Privacy Policy.

1. GENERIC TERMS FOR USERS AVAILING VARIOUS SERVICES ON THE PLATFORM & SUB DOMAINS

ELIGIBILITY FOR USAGE OF PLATFORM

Use of the Platform is available only to persons who can form legally binding contracts under the laws of SG. Persons who are "incompetent to contract" under the applicable laws including minors, un-discharged insolvents etc. are not eligible to use the Platform. If you are a minor i.e. under the age of 18 years, you shall not register as a User of the Platform and shall not transact on or use the Platform. As a minor if you wish to use or transact on Platform, such use or transaction may be made by your legal guardian or parents on the Platform. Droom reserves the right to terminate your account and / or refuse to provide you with access to the Platform if it is brought to Droom's notice or if it is discovered that you are under the age of 18 years or otherwise legally disqualified or incompetent to enter into contract as per the applicable laws . Furthermore, Droom has the right at its sole discretion to refuse to provide access to or terminate the access of any person(s) whatsoever with or without notice and take any appropriate action it deems fit at the Your sole cost and consequences.

YOUR ACCOUNT AND REGISTRATION OBLIGATIONS

Registration on the Platform is free for Users. Droom does not charge any fee for browsing . Droom reserves the right to change its Fee Policy from time to time at its sole discretion. In particular, Droom may at its sole discretion introduce new services and modify some or all of the existing services offered on the Platform. In such an event Droom reserves the right to introduce fees for the new services offered or amend/introduce fees for existing services, as the case may be. Changes to the Fee Policy shall be posted on the Platform and such changes shall automatically become effective immediately after they are posted on the Platform and notified on the website. Unless otherwise stated, all fees shall be quoted in Dirhams. You/ Users shall be solely responsible for compliance of all applicable laws including those in India and SG for making payments to Droom, wherever applicable.

If You use the Platform, You are responsible for maintaining the confidentiality of Your information including your display name and password (if applicable) and Your other personal information. You shall be responsible for all activities undertaken by You, including but not limited to use of the Platform for availing the Services through this Platform that occur under Your Display Name and Password. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with these Terms of Use, We shall have the right to indefinitely suspend or terminate or block access of Your registration/login on the Platform and refuse to provide You with access to the Platform.

PLATFORM FOR TRANSACTION AND COMMUNICATION

The Platform is a platform that Users utilize to inter alia get required information, meet and interact with one another for their transactions and share their reviews about automobiles and Sellers. Droom and this Platform or the Content posted on the Droom Community and/or the Platform in general, shall in no matter be held responsible for any opinion expressed, review made by any of the Users on this Platform and/ or is not and cannot be a party to or control in any manner any transaction between the Platform and the Users.

NO ENDORSEMENTS OR VERIFICATION

Please note that the Platform in general and the Droom Community platform contains access to third-party content or advertisements and Content posted by other Users, and it offers interactions with third parties and other Users. Participation or availability on the Platform does not amount to endorsement or verification by Us. We make no warranties or representations about the accuracy, completeness, or timeliness of any third party advertisement or Content posted on the Platform or on the Droom Community platform by anyone.

USE OF THE PLATFORM

You/ Users agree, undertake and confirm that Your use of the Platform shall be strictly governed by the following binding principles and the Company shall have the absolute right to suspend Your account and take appropriate legal action solely at Your cost as the Company may deem fit:

You/User shall not host, display, upload, modify, publish, transmit, update or share any information on the Platform which:
1. Belongs to another person and to which You/User do not have any right to;
2. Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; or unlawfully threatening or unlawfully harassing including but not limited to "indecent representation of women" within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986;
3. Is misleading in any way;
4. Infringes any copyright of Content or any trademark of any third party on the Platform and on the Droom Community page.
5. Is as sexually explicit content, or content that promotes obscenity, pedophilia, racism, false identity or any deceptive activity, bigotry, hatred or physical harm of any kind against any group or individual.
6. Harasses or advocates harassment of another person on the Platform and /or on the Droom Community page.
7. Involves the transmission of "junk mail", "chain letters", or unsolicited mass mailing or "spamming".
8. Promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous.
9. Infringes upon or violates any third party's rights [including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person's name, email address, physical address or phone number) or rights of publicity];
10. Promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files.
11. Contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);
12. Provides material that exploits people in a sexual, violent or otherwise inappropriate manner or solicits personal information from anyone.
13. Provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses.
14. Buying/selling of stolen vehicles on the Platform and or its other owned or operated platforms and/or mobile applications
15. Contains video, photographs, or images of another person (with a minor or an adult).
16. Tries to gain unauthorized access or exceeds the scope of authorized access to the Platform or to profiles, blogs, communities, account information, bulletins, friend request, or other areas of the Platform or solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
17. Engages in commercial activities and/or sales without Our prior written consent such as contests, sweepstakes, barter, advertising and pyramid schemes, or the buying or selling of "virtual" products related to the Platform. Throughout these Terms of Use, Droom's prior written consent means a communication coming from Droom's Legal Department/Management of Droom, specifically in response to Your request, and specifically addressing the activity or conduct for which You seek authorization.
18. Solicits gambling or engages in any gambling activity which We, in Our sole discretion, believe is or could be construed as being illegal.
19. Interferes with another User's use and enjoyment of the Platform or any other individual's User and enjoyment of similar services.
20. Refers to any Platform or URL that, in Our sole discretion, contains material that is inappropriate for the Platform or any other Platform, contains content that would be prohibited or violates the letter or spirit of these Terms of Use.
21. Harm minors in any way;
22. Infringes any patent, trademark, copyright or other proprietary rights or third party's trade secrets or rights of publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen products or by posting Content which is infringing to any third Party's;
23. Violates any law for the time being in force;
24. Deceives or misleads the addressee/ users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
25. Impersonate another person;
26. Contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or contains any trojan horses, worms, time bombs, cancel bots, Easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
27. Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.
The User of this Platform is required to ensure and undertakes that the information provided on this Platform or any actions of the User(s) on this Platform shall:
1. Not be false, inaccurate or misleading;
2. Not, directly or indirectly, offer, attempt to offer, trade or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force;
3. Not create liability for Us or cause Us to lose (in whole or in part) the services of Our internet service provider ("ISPs") or other suppliers;
4. Not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform or any content, or in any way reproduce or circumvent the navigational structure or presentation of the Platform or any content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Platform. We reserve Our right to bar any such activity;
5. Not attempt to gain unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform or to any server, computer, network, or to any of the services offered on or through the Platform, by hacking, password "mining" or any other illegitimate means;
6. Not probe, scan or test the vulnerability of the Platform or any network connected to the Platform nor breach the security or authentication measures on the Platform or any network connected to the Platform. You may not reverse look-up, trace or seek to trace any information on any other User of or visitor to Platform, or any other customer, including any account on the Platform not owned by You, to its source, or exploit the Platform or any service or information made available or offered by or through the Platform, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than Your own information, as provided for by the Platform;
7. Not make any negative, denigrating or defamatory statement(s) or comment(s) about Us or the brand name or domain name used by Us or any other person/ entity or otherwise engage in any conduct or action that might tarnish the image or reputation, of Droom or Sellers on platform or otherwise tarnish or dilute any Droom's trade or service marks, trade name and/or goodwill associated with such trade or service marks, trade name as may be owned or used by us. You agree that You will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Platform or Droom's systems or networks, or any systems or networks connected to Droom;
8. Not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Platform or any transaction being conducted on the Platform, or with any other person's use of the Platform;
9. You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal You send to Us on or through the Platform or any service offered on or through the Platform. You may not pretend that You are, or that You represent, someone else, or impersonate any other individual or entity;
10. Not use the Platform or any content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Droom and / or others;
11. At all times ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time and also all applicable domestic laws, rules and regulations regarding Your use of Our Platform, Droom Community and Our Services and Your listing, purchase, solicitation of offers to purchase, and sale of products or services. You shall not engage in any transaction in an item or service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force.
12. Act in a bonafide manner to enable Us to use the information You supply Us with, so that we are not violating any rights You might have in Your Information. You agree to grant Us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, database rights or any other rights You have in Your Information, in any media now known or not currently known, with respect to Your Information. We will only use Your information in accordance with the Terms of Use and Privacy Policy applicable to use of the Platform
13. Create, develop or prepare derivative works from, or translate, any portion of the Services or the Platform.
14. Modify, reconfigure, tamper with or alter any technical settings, configurations or components of the Services, including gateways, interfaces, APIs, ports or system parameters.
15. Sell, assign, lease, license, sublicense, loan, distribute, rent or otherwise make the Services available to any third party in any manner whatsoever.
16. Reverse engineer, decompile, disassemble, decode or otherwise attempt to extract, access or derive the source code, object code or underlying structure of the Services or any part thereof.
17. Copy, reproduce or duplicate the Services or any portion thereof, or create or maintain any database, archive or compilation of content, data or output generated from the Services.
18. Use any automated means, including scripts, bots, crawlers, scraping tools, algorithms, applications or devices, to access, extract, copy, manipulate or monitor any data or content from the Services.
19. Upload, transmit, introduce or permit the introduction of any virus, malware, trojan horse, worm, ransomware or other harmful or disabling code into the Services or the Platform.
20. Use the Services for any unlawful, unauthorised or fraudulent purpose, or in a manner that infringes or violates the intellectual property rights, contractual rights or legal rights of any third party.
From time to time, if you are a Seller/Dealer/ Cloud Dealer, You shall be responsible for providing information relating to the products or services proposed to be sold by You. In this connection, You undertake that all such information shall be accurate in all respects and in accordance with the DPDPA 2023, IT Act 2000 and any rules thereunder and applicable laws of SG. Droom or any of its sister concerns, employees, Affiliates, service providers or contractors shall not be responsible or liable for any data/information provided by You (User) for any Services to be provided or availed on the Platform. Droom assumes that the information or data being passed on to Us is agreed and acknowledged by the third person to be shared ahead for availing the Services and usage of Products listed on the Platform. Droom will not be liable or responsible towards You in any mode or manner whatsoever by law or otherwise in any mode and manner whatsoever. You shall not exaggerate or over emphasize the attributes of such products or services so as to mislead other Users in any manner.
You shall not engage in advertising to, or solicitation of, other Users of the Platform to buy or sell any products or services, including, but not limited to, products or services related to that being displayed on the Platform or related to Us. You may not transmit any chain letters or unsolicited commercial or junk email to other Users via the Platform. It shall be a violation of these Terms of Use to use any information obtained from the Platform in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to another person other than Us without Our prior explicit consent. In order to protect Our Users from such advertising or solicitation, We reserve the right to restrict the number of messages or emails which a User may send to other Users in any 24-hour period which We deems appropriate in its sole discretion.
You understand that We have the right at all times to disclose any information (including the identity of the persons providing information or materials on the Platform) as necessary to satisfy any law, regulation or valid governmental request. This may include, without limitation, disclosure of the information in connection with investigation of alleged illegal activity or solicitation of illegal activity or in response to a lawful court order or subpoena. In addition, We can (and You hereby expressly authorize Us to) disclose any information about You to law enforcement or other government officials, as we, in Our sole discretion, believe necessary or appropriate in connection with the investigation and/or resolution of possible crimes, especially those that may involve personal injury.
We reserve the right, but have no obligation, to monitor the products and materials posted on the Platform. Droom shall have the right to remove or edit any product or content that in its sole discretion violates, or is alleged to violate, any applicable law or either the spirit or letter of these Terms of Use. Notwithstanding this right, YOU REMAIN SOLELY RESPONSIBLE FOR THE PRODUCT, SERVICES & CONTENT OF THE MATERIALS YOU POST ON THE PLATFORM TO BE SOLD TO THE USERS AND ALSO REMAIN LIABLE FOR THE CONTENT YOU POST IN YOUR PRIVATE MESSAGES OR MESSAGE BOARDS. Please be advised that such Content posted does not necessarily reflect Droom's views. In no event shall Droom assume or have any responsibility or liability for any products and Content posted or for any claims, damages or losses resulting from purchase of products and services on the Platform and of the use of Content and/or appearance of Content on the Platform. You hereby represent and warrant that You have all necessary rights/ ownership to post the products and services on the Platform and to all Content which You provide and all information it contains and that such product/ services and Content shall not infringe any proprietary or other rights of third parties or contain any libellous, tortious, or otherwise unlawful information.
Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Platform, including payment and delivery of related products or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between You and such advertiser. We shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Platform.
It is possible that other Users (including unauthorized users or "hackers") may post or transmit offensive or obscene materials on the Platform and that You may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about You due to Your use of the Platform, and that the recipient may use such information to harass or injure You. We do not approve of such unauthorized uses, but by using the Platform You acknowledge and agree that We are not responsible for the use of any personal information that You publicly disclose or share with others on the Platform. Please carefully select the type of information that You publicly disclose or share with others on the Platform.
Droom shall have all the rights to take necessary action and claim damages that may occur due to Your involvement/participation in any way on your own or through group/s of people, intentionally or unintentionally in DoS/DDoS (Distributed Denial of Services) attacks.

PROFANITY POLICY

Droom prohibits the use of language that is racist, hateful, sexual or obscene in nature in a public area. This policy extends to text within listings, on Seller pages and all other areas of the site that another User may view.
Please report any violations of this policy to the correct area for review:
- Report offensive Display Names
- Report offensive language in a listing or otherwise
If a feedback comment; or any communication made between Users on the Platform; or email communication between Users in relation to transactions conducted on Platform contain profanity, please review Our feedback removal policy and submit a request for action/removal. Disciplinary action may result in the indefinite suspension of a User's account, temporary suspension, or a formal warning. Droom will consider the circumstances of an alleged policy violation and the user's trading records before taking action.

VIOLATIONS OF THIS POLICY MAY RESULT IN A RANGE OF ACTIONS, INCLUDING:

Limits placed on account privileges;
Loss of special status;
Account suspension. This shall be at Droom's sole discretion.

EMAIL ABUSE & THREAT POLICY

Private communication, including email correspondence, is not regulated by Droom. Droom encourages its Users to be professional, courteous and respectful when communicating by email.

However, Droom will investigate and can take action on certain types of unwanted emails that violate Droom policies.

SUCH INSTANCES INCLUDE:

Threats of Bodily Harm - Droom does not permit Users to send explicit threats of bodily harm.
Misuse of Droom System - Droom allows Users to facilitate transactions through the Droom system but will investigate any misuse of the Service.
Spoof (Fake) email - Droom will never ask you to provide sensitive information through email. In case you receive any spoof (fake) email, you are requested to report the same to Us through the 'Contact Us' tab.
Spam (Unsolicited Commercial email) - Droom's spam policy applies only to unsolicited commercial messages sent by Droom Users. Droom Users are not allowed to send spam messages to other Users.
Offers to Buy or Sell Outside of Droom - Droom prohibits email offers to buy or sell listed products outside of the Droom Platform. Offers of this nature are a potential fraud risk for both Buyers and Sellers.

Droom policy prohibits user-to-user threats of physical harm via any method including, phone, email and on Our public message boards.

Violations of this policy may result in a range of actions, including:

Limits on account privileges
Account suspension
Cancellation of listings
Loss of special status

CONTENTS POSTED ON PLATFORM:

THIRD PARTY CONTENT:- All text, graphics, videos, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music and artwork (collectively, "Content"), other than the ones created, originated and used by the Company is a third-party user generated content and Droom has no control over such third-party user generated content as Droom is merely an intermediary for the use of the materials and information available on this Platform and for the purposes of these Terms of Use.

USER GENERATED CONTENT:- You shall be solely responsible for any notes, messages, emails, billboard postings, photos, drawings, profiles, opinions, ideas, images, videos, audio files or other materials or information posted or transmitted to the Platform and on the Droom Community page . Such Content will become Our property and You grant Us the worldwide, perpetual and transferable rights to use such Content as the Company or Platform may deem fit. We shall be entitled to, consistent with Our Privacy Policy as adopted in accordance with applicable law, to use the Content or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now, known or hereafter devised, including the creation of derivative works that may include the Content You provide. You agree that any Content You post may be used by Us, consistent with Our Privacy Policy and rules of conduct on the Platform as mentioned herein, and You are not entitled to any payment or other compensation for such use.

Except as expressly provided in these Terms of Use, no part of the Platform and no content including but not limited to the third-party Content and/or Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, Platform or other medium for publication or distribution or for any commercial enterprise, without Droom's express prior written consent. You may use information on the products and Services purposely made available on the Platform for downloading, provided that You (1) do not remove any proprietary notice language in all copies of such documents, (2) use such information only for Your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) do not make any additional representations or warranties relating to such documents.

SERVICES UNDER THE PLATFORM

I. DROOM CLOUD SERVICES (DCS)

Droom Cloud Services (hereinafter referred to as "DCS") includes technology and data science driven subscription services delivered on the cloud for SMEs and Enterprises in automobile verticals subscription Services bundled as Plan(s) which the User can subscribe on a monthly, quarterly, or yearly basis.

The Services are available to the User on a Plan(s) basis wherein the User shall create an account and subscribe the Plan(s) subject to the terms & conditions, commercials (i.e. subscription fee) agreed herein.

The Services to be provided by the Company to the Subscriber is on a non-exclusive basis and the Company has all rights to provide same/similar services to other third parties in perpetuity.

The following are the Services under DCS:-

Pricing as a Service (PaaS)
The pricing service leverages OBV (Orange Book Value), a Data Science driven algorithmic pricing engine, to offer information around pricing of automobiles.
Inspection as a Service (IaaS)

Droom Financial Service leverages Fintech offering 21st century financial services. It is India's most comprehensive, unbiased, and independent way to get instant loans. Fintech aims to make the loan process easier, instant, paperless and affordable for everyone.

The above Services under DCS are marketed/sold/available to Enterprise(s) on https://enterprise.droom.in/ and the said Services for Enterprise(s) shall be governed by the Terms of Use and Privacy Policy as on the Platform herein.

The Users are free to subscribe the plan(s) as per their requirement(s), subject to availability of the same on the date of subscription.

SERVICES & PLAN(S) OFFERED: -

The Platform offers various Plan(s) to the User of the Platform.

The Platform shall allow the Users to avail Plan(s) available on the Platform which consist of various deliverables for the benefit of the User. The Plan(s) are only available through the subscription model on a monthly, quarterly and annual basis on the Platform.

The User at his/her sole discretion can opt to use such Plan(s) at his/her own accord. Neither the Platform/the Company advice nor imposes any obligation/compulsion on the User to purchase any Plan(s) and holds any liability towards the User for usage of such Services. The Platform or the Company will not be made liable for any losses/damages incurred by the Subscriber or any third party of the Subscriber towards the usage of any Services.

The prices of the Plan(s) are subject to change at Company's sole discretion without prior information or intimation to You.

When You subscribe to any of the Plan(s), You shall be subject to the rules, guidelines, policies, terms, and conditions applicable to such Services and You shall abide by them as incorporated on their respective websites. In case of any discrepancy in the terms and conditions mentioned herein and on the respective websites of the Services, the Terms of Use of www.droom.in shall prevail.

The Subscriber may have the option to add on/upgrade/downgrade the Plan(s) as per his/her requirement subject to availability of such schemes on the Platform.

Cancellation ("If applicable"):- Subscriber may cancel anytime before the due date of the renewal and once a cancelation request is made, there shall be no refund or return and the subscribed Plan(s) shall stand active and remain valid until the subscription expiration date.

Renewal & Non payment (if applicable):- The Subscriber shall have an option to check or uncheck the auto renew feature at the time of subscribing the Plan(s) or anytime while using the plan. The Subscriber shall have the option to renew the Plan(s) anytime prior to the due expiry of the Subscription by opting the renewal action and making payment for the same as on the Platform. Auto renewal of the Plan(s) shall happen via online tool and credit card stored under PCI compliant environment, debit note raised, or invoice raised shall be shared with the Subscriber on E-mail Id shared by the Subscriber.

As and when the payment is due and the Subscriber has not opted the auto renew feature, the Subscriber shall be intimated via phone/message/WhatsApp/e-mail for making the payment for utilization of the Service(s). In case the Subscriber fails to make the payment, this may result into suspension of the subscription and may result into cancelation if the payment remains outstanding upon expiry of 60 (Sixty) days from the date the payment is due.

DISCLAIMERS APPLICABLE TO ABOVE SERVICES

The Services are provided on an "As is Available" basis without warranties of any kind either express or implied, including but not limited to warranties of title, non-infringement or implied warranties of merchantability of fitness for a particular purpose. No advice or information given by the Company, its affiliates or their respective employees shall create a warranty or liability of any kind towards the Subscriber. Notwithstanding the generality of the aforesaid, the Company shall provide the Services in accordance with the terms of use herein. In addition, the Company shall not be responsible towards the Subscriber for malfunction or interruptions in the Service caused by the actions of third-party carriers, any authority notifications, government orders or by any other third parties or Force Majeure event.

The said Services provided herein are for the benefit of the Subscriber(s) only and the Subscriber shall not pass on these Services as its own services or to any third party for Subscriber's own benefit (monetary or otherwise). The Services are owned and operated by the Company and the Subscriber shall not render any rights over the Services so provided by the Company. Nonadherence to this will be deemed to be a major breach by the Subscriber and the Company shall be liable to act against the Subscriber and any third party involved in such breach at the sole cost and consequences of the Subscriber.

SERVICE/SUBSCRIPTION FEES & PAYMENT TERMS

For the Services to be availed by the Subscriber, the Company shall be paid a subscription fee (hereinafter referred as "Subscription Fee") towards the subscribed Plan(s). Details of payment and payment terms are mentioned on the Platform. Any taxes applicable as per applicable laws of the land at the time of payment shall be charged separately by the Company and shall be borne by the Subscriber.

PROMOTIONAL ACTIVITIES

The Company shall run promotional activities/ offers on a time-to-time basis for the Users and Subscribers and the Company may at its sole discretion may withdraw the promotional activities without any prior information and intimation to the User. The Company shall not be liable to the User for any loss/damage(s) incurred by the User in relation to the promotional activities run by the Company.

II. DROOM ECO SYSTEM SERVICES

Orange Book Value - utilises Droom's proprietary data science methodologies and latest technologies to get the correct pricing of used vehicles and mobile phones depending upon various factors that lead to value depreciation. A vehicle and/ or mobile phone that is well-maintained and kept in good shape gets to score more in the OBV methodology and gets a better market value. Used vehicle and mobile phone buyers, sellers and Users of this Platform, agree and acknowledge that the Orange Book Value report is recommendatory in nature and that Droom or Orange Book Value will, in no manner be responsible for any losses suffered by the Users/ buyers in any manner.

The Users further acknowledge that they will not rely solely on an Orange Book Value report in their decision to buy a vehicle and/ or mobile phone. The Orange Book Value report is meant to cover certain items, but not all mechanical components of a vehicle and/ or mobile phone. The Orange Book Value report is generated based on the information that is provided by Users about the vehicle's make, model, Year, Trim and manufacturing and the mobile phone's make, model and age. The valuation may vary upon inspection of actual presentment of the said vehicle and/ or mobile phone and Droom is not liable or responsible in case Users provide false or incorrect information. Eco Inspection - is a vehicle inspection service offered by Droom where vehicle inspections are performed by independent, third-party mechanics and/ or auto repair shops. Droom does not own, operate, or control any repair shop or mechanic designated as a Droom certified inspection location, station or shop or employ any third-party mechanics and, as such, Droom does not guarantee the accuracy of the inspection results.

Used car buyers and users of this Platform, agree and acknowledge that they will not rely solely on an eco-inspection report in their decision to buy a vehicle. The inspection report is meant to cover certain items, but not all mechanical components of a vehicle. The inspection reports available for the vehicles may not be updated with the latest information about the vehicles and items that may appear acceptable now, may need work or attention shortly after the inspection is completed. Droom is not liable or responsible for any damage to your vehicle caused during the inspection or while your vehicle is in the possession of the mechanic or auto repair shop. Droom provides guidelines on how to perform the 5-segment, 121 points plus mechanical inspection, but other than this, Droom or the Platform has no control or authority over such mechanics. Droom implements procedures to seek out quality mechanics, but does not guarantee the work of any mechanic, as each mechanic operates separately and independently without any control or direct supervision from Droom. The Users further acknowledge that the purpose of the Vehicle History certificate is solely to keep a Buyer informed about the background history of a used vehicle before buying and they will not rely solely on a Vehicle History certificate in their decision to buy a vehicle.

DISCLAIMERS APPLICABLE TO ABOVE SERVICES

The Company reserves the right to make additions, deletions, or modification to the Services and its features, any time, without prior notice to its User's. The Company can in its sole discretion discontinue the Services with or without providing any specific information or notice to any third party thereof and in no event the Company shall be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence or other tort, arising out of or in connection with the use of the Services and its features.

Notwithstanding the generality of the aforesaid, the Company shall provide the Services in accordance with the terms of use herein. In addition, the Company shall not be responsible towards the User for malfunction or interruptions in the Service caused by the actions of third-party carriers, any authority notifications, government orders or by any other third parties or Force Majeure event.

The said Services provided herein are for the benefit of the User(s) only and the User(s) shall not pass on these Services as its own services or to any third party for User's own benefit (monetary or otherwise). The Services are owned and operated by the Company and the User shall not render any rights over the Services so provided by the Company. Non-adherence to this will be deemed to be a major breach by the User and the Company shall be liable to act against the User and any third party involved in such breach at the sole cost and consequences of the User.

COMMUNICATIONS

When You use the Platform, or send emails or other data, information or communication to Us and provide Your information required for availing the Services, You agree and understand that You are communicating with Us through electronic records, by telephonic calls, SMS and You consent to receive communications via electronic records, telephone calls and SMSs from Us periodically and as and when required. We may communicate with You by email or by such other mode of communication, electronic or otherwise.

DATA PRIVACY AND SYSTEMS FOR ENTERPRISE CLIENT

The Client agrees and understands that Droom is a 'Data Processor' under the Digital Personal Data Protection Act, 2023 and the Client is acting in the capacity of a 'Data Fiduciary' acting on behalf of the Users who are 'Data Subjects' to get their consent in order to process their personal data for the purposes of Droom performing its Services on the Platform.

Droom reserves the right to upgrade, modify, replace, improvise or reconfigure the Platform at any time, with or without notice to the Client provided, it will not impact the basic functionality of Platform and the delivery of the Services as required under this Agreement. CONFIDENTIALITY

Each Party receiving Confidential Information (the "Receiving Party") from the other Party (the "Disclosing Party") shall:

(a) use the Confidential Information solely for the purpose of performing its obligations or exercising its rights for the proper and correct usage of Services.

(b) safeguard the Confidential Information using at least the same degree of care that it applies to protect its own confidential or proprietary information of a similar nature, and in no event less than a reasonable standard of care; and

(c) refrain from disclosing the Confidential Information to any third party except with the prior written consent of the Disclosing Party or as expressly permitted under these Terms of Use or any agreement or as agreed between the parties.

Upon termination or expiry of the Services or the agreement ( unless otherwise agreed between the Parties, each Party shall, without undue delay, return or permanently destroy all Confidential Information of the other Party in its possession or control, including all copies, summaries, extracts or derivative materials, unless retention is required by applicable law or expressly permitted under this Agreement.

Notwithstanding the foregoing, the Receiving Party may disclose the Disclosing Party's Confidential Information:

(a) to the extent required by applicable law, regulation or court order, provided that, to the extent legally permissible.

(b) to its Affiliates, the Disclosing Party's Affiliates, and to its or the Disclosing Party's professional advisers, auditors, consultants, and third-party service providers, strictly on a need-to-know basis and solely to the extent necessary for the performance of the Services.

Each Party acknowledges that any breach of this confidentiality obligation may result in irreparable harm to the Disclosing Party for which monetary damages may be an inadequate remedy. Accordingly, the Disclosing Party shall be entitled to seek injunctive relief and any other equitable or legal remedies available under applicable law.

The obligations set forth in this clause shall survive the termination or expiration of the Services offered by Droom to the Client.

ADVERTISEMENTS ON THE PLATFORM

We may use third-party advertising companies to serve ads when you visit our Platform. These companies may collect and/ or use information (not including your name, address, email address, or telephone number) about your visits to this and other Platforms in order to provide advertisements about goods and services of interest to you. Droom is not responsible for the privacy practices or the content of those linked Platforms nor for any third party to whom we transfer your data in accordance with our Privacy Policy. Droom assumes no responsibility for examining or evaluating the products and services offered by them. Droom do not warrant the offerings of any of these businesses or individuals or the content of such third-party Platform(s). Droom does not endorse, in any way, any third-party Platform(s) or content thereof.

INTELLECTUAL PROPERTY RIGHT

The Users of the Platform shall respect Company's intellectual property rights including without limitation, patent, copyright, trade/service mark(s), trade names(s), trade secret(s) and logos, websites, source codes, Services owned and operated by the Company ("Intellectual Property/ Intellectual Property Rights") and shall not contest, at any time, the other Party's right in any Intellectual Property Rights.

The Users of the Platform agrees not to use or cause to be used the Intellectual Property Rights of the Company in any manner whatsoever other than the agreed means of usage of the Intellectual Property Rights by the Company to the Users in provisioning of the Services.

The Users shall not in any mode or manner use/forward or share the Intellectual Property in any communication to a third party without explicit written permission from the Company.

The Company shall have the right to indicate to the public through its online portal, website and/or apps to the public that it is an authorised partner of the User. Company agrees that its use of the trademarks, service marks and trade names of the User shall not create in its favor any right, title or interest therein and acknowledges User's exclusive right, title and interest thereto. Company shall delete and stop all such use upon termination of the Services.

The logos, the source codes, designs, layout on/off the Platform are all intellectual property of the Company. The contents/materials posted on the Platform, including images, illustrations, audio clips, and video clips posted by the Company are intellectual property of the Company.

The Company respects the intellectual property of others. In case, You allege that Your intellectual property has been infringed, You can write to the Company at infringement@droom.in or droom.legal@droom.in

We request You to please also provide the following information in Your complaint:-

Identification of the material on Our Platform that is claimed to be infringing or to be the subject of infringing activity.
Your address, telephone number and e-mail address.
In case of Trademark infringement, please provide the ownership of Trademark (Trademark Registration Certificate should be in the name of applicant).

Important Note: In Your notice of infringement, You shall be required to identify the individual listing which is infringing Your intellectual property. General notices shall not be accepted. We are happy to receive such information but must advise that We may be limited in Our ability to respond to Your request absent formal notice from an authorized rights owner.

DISCLAIMER OF WARRANTIES AND LIABILITY

This Platform, all the materials and products (including but not limited to software) and Services, included on or otherwise made available to You through this site are provided on "as is" and "as available" basis without any representation or warranties, express or implied except otherwise specified in writing. Without prejudice to the forgoing paragraph, Droom does not warrant that:

Droom will not be liable to You in any way or in relation to the contents of, or use of, or otherwise in connection with, the Platform. Droom does not warrant that this Platform; information, Content, materials, product (including software) or services included on or otherwise made available to You through the Platform; their servers; or electronic communication sent from Us are free of viruses or other harmful components.

Nothing on Platform constitutes, or is meant to constitute, advice of any kind. All the products sold on Platform are governed by applicable laws. You will be required and are expected to enter correct and valid personal details such as Your name, address, email address, phone number and other information as required for use of the Services on this Platform. By registering/ providing Your details including but not limited to Your phone number with Us, You consent to be contacted by Us via phone calls and/or SMS notifications, in case of any order or shipment or delivery related updates. Further, Droom does not take responsibility or liability for the actions, products, content and services on the Platform, which are linked to affiliates and/or third-party Platforms using Platform's APIs or otherwise.

INDEMNITY

You/User shall indemnify and hold harmless Droom/ Platform, all its products and Services listed on the Platform and in these Terms of Use, its owner(s), licensee(s), affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by You or any third party or penalty imposed upon Droom or any of its affiliates, subsidiaries, partners, employees due to or arising out of Your breach of this Terms of Use, Privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of Platform, product(s) or Services of Droom or of any third party.

LIMITATION OF LIABILITY

IN NO EVENT SHALL DROOM OR ANY OF ITS PROVIDED SERVICES BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THESE TERMS OF USE, PLATFORM'S SERVICES, VEHICLE RENTAL SERVICES, PLATFORM ADOPTION PROGRAMS, AND CONTENT EVEN IF USER HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.

SEVERABILITY

Any provision of these Terms of Use that is found to be prohibited or unenforceable shall be ineffective to the extent of such prohibition or unenforceability, without invalidating the remaining portions hereof.

RELATIONSHIP OF THE PARTIES

The Parties are independent contractors. Nothing in these Terms of Use shall be construed as constituting a partnership, franchise, joint venture, agency, fiduciary or employment relationship between Droom and the Client and Users.

DISPUTE RESOLUTION & Jurisdiction

Generally, transactions are conducted smoothly on Droom. However, there may be some cases where the Users of the Platform may face issue(s). At Droom, we have a Dispute Resolution process in order to resolve the disputes.

Droom Cloud Service (DCS):- The Users can write to cloud@droom.in and in case of SME's sme@droom.in for the services offered under DCS on the Platform, to raise a dispute. Disputes can be raised at a particular transaction level.

APPLICABLE LAW & JURISDICTION

In case either party feels that the dispute(s) raised as per the Dispute Resolution clause, above is not resolved to the satisfaction of the Parties, either party shall have the right to approach the court(s) and the courts at Gurugram shall have exclusive jurisdiction in respect to the matters thereof.
